Start an EAS company in Paraguay as a foreigner: roles and steps
Short answer
A foreign national can be a shareholder in a Paraguayan Empresa por Acciones Simplificadas (EAS). Registration runs online through SUACE using the legal representative’s electronic identity; that person must be Paraguayan or hold a Paraguayan cédula. MIC says incorporation with its standard articles is free. Before appointing a foreign shareholder to manage the company, confirm the residency requirement for that role with SUACE.
Separate shareholder and representative roles
| Role | Published condition |
|---|---|
| Foreign shareholder | May join with a passport or home-country identity document, depending on the case |
| Legal representative | Needs electronic identity tied to a Paraguayan cédula; can be an appointed third party |
| Foreign shareholder on the management body | SUACE’s FAQ requires permanent residency |
The same FAQ asks for a Paraguayan cédula from the legal representative and permanent residency from a foreign shareholder in management. MIC also describes a foreign representative with a cédula. These texts do not explain every temporary-resident case. Ask SUACE to confirm your specific role in writing before issuing a power of attorney.
Prepare identity documents and a power of attorney
- For an individual shareholder, MIC lists a Paraguayan cédula, passport or home-country ID according to the person’s status.
- If a third party forms the EAS for shareholders, MIC requires a special power of attorney. One issued abroad must be apostilled and translated into Spanish where applicable.
- The representative needs electronic identity. Use an active company email address in the application because SUACE sends notices and requested changes there.
How registration proceeds
-
Set shareholders, representative and articles
Confirm with SUACE that the representative qualifies under their cédula and residency. Choose standard or custom articles.
-
Apply online
The representative signs in at eas.mic.gov.py using electronic identity and submits the company documents.
-
Respond to notices
MIC estimates 72 working hours with standard articles and 8 working days with other articles if no changes are requested. Actual time depends on the application.
-
Check tax registration
DNIT says the EAS tax registration, or RUC, runs through SUACE and lists articles, shareholder and representative documents, and a beneficial-owners certificate.
Capital and separate expenses
SUACE says there is no minimum EAS capital and no requirement to hire 5 people at incorporation. MIC publishes a USD 70,000 investment and 5 jobs for its separate Foreign Investor Certificate, a route linked to investor residency. MIC says standard-articles EAS incorporation is free; budget separately for any power of attorney, apostille, translation or advice.
Before submitting
- Confirm with SUACE whether you will only own shares or also manage the company.
- Check current RUC and beneficial-owner paperwork for your shareholder structure.
- Have a local accountant or lawyer review the articles and tax and employment duties before operating.
